1. Agreement to Terms

These Terms of Service ("Terms") constitute a legal agreement between you and SPRK, LLC ("SPRK," "we," "us," or "our") governing your access to and use of our CRM platform for insurance professionals. By accessing or using SPRK, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our services.

2. Eligibility

To use SPRK, you must:

• Be at least 18 years of age

• Be a licensed insurance professional or work for an insurance-related business

• Have the authority to enter into these Terms

• Provide accurate and complete registration information

• Comply with all applicable laws and regulations

3. Account Registration and Security

3.1 Account Creation

You must create an account to use SPRK. You agree to provide accurate, current, and complete information and to update this information as necessary.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password and account credentials

• All activities that occur under your account

• Notifying us immediately of any unauthorized access or security breach

3.3 Account Restrictions

You may not:

• Share your account with others

• Create multiple accounts

• Use another person's account without permission

• Transfer or sell your account

4. Subscription and Payment

4.1 Subscription Plans

SPRK offers various subscription plans with different features and pricing. Details are available on our pricing page.

4.2 Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis

• Payments are processed through secure third-party payment processors

• You authorize us to charge your payment method for all applicable fees

• All fees are non-refundable unless otherwise stated or required by law

4.3 Price Changes

We may change subscription prices with 30 days' advance notice. Changes apply to subsequent billing periods.

4.4 Late Payment

Failure to pay may result in service suspension or termination. We may charge late fees as permitted by law.

5. Acceptable Use Policy

You agree to use SPRK only for lawful purposes and in accordance with these Terms. You will NOT:

• Violate any applicable laws, regulations, or third-party rights

• Upload or transmit viruses, malware, or malicious code

• Attempt to gain unauthorized access to our systems or other users' accounts

• Interfere with or disrupt the integrity or performance of SPRK

• Use automated systems (bots, scrapers) without our written permission

• Reverse engineer, decompile, or disassemble any part of SPRK

• Remove or modify any proprietary notices or labels

• Use SPRK for any fraudulent or unlawful purpose

• Transmit spam, chain letters, or unsolicited communications

• Harass, abuse, or harm other users

• Store or transmit content that infringes intellectual property rights

6. Your Data and Content

6.1 Ownership

You retain all rights to the data and content you input into SPRK ("Your Content"), including client information and business records.

6.2 License to SPRK

You grant us a limited license to access, store, and process Your Content solely to provide and improve our services.

6.3 Your Responsibilities

You are solely responsible for:

• The accuracy and legality of Your Content

• Obtaining necessary consents from your clients

• Complying with insurance regulations and privacy laws

• Backing up Your Content

• Ensuring Your Content does not violate third-party rights

6.4 Data Backup

While we implement backup procedures, you are responsible for maintaining independent backups of Your Content.

7. Intellectual Property Rights

7.1 SPRK Ownership

SPRK and all related technology, software, features, designs, trademarks, and logos are owned by SPRK, LLC and protected by intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use SPRK for your business purposes in accordance with these Terms.

7.3 Feedback

If you provide suggestions or feedback about SPRK, we may use such feedback without obligation to you.

8. Third-Party Integrations

SPRK may integrate with third-party services. Your use of such integrations is subject to the third parties' terms and privacy policies. We are not responsible for third-party services.

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using SPRK, you consent to our data practices as described in the Privacy Policy.

As an insurance professional, you must ensure compliance with:

• State and federal insurance privacy regulations

• HIPAA (if handling protected health information)

• Any other applicable data protection laws

10. Service Availability and Modifications

10.1 Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may experience downtime for maintenance, updates, or unforeseen circumstances.

10.2 Modifications

We reserve the right to:

• Modify or discontinue features

• Update these Terms

• Change pricing with advance notice

• Improve or alter the platform

We will notify you of material changes via email or platform notification.

11. Term and Termination

11.1 Term

These Terms remain in effect while you use SPRK.

11.2 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your billing period.

11.3 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms

• Fail to pay subscription fees

• Engage in fraudulent or illegal activities

• Pose a security risk

11.4 Effect of Termination

Upon termination:

• Your access to SPRK will cease

• You may request a data export within 30 days

• We may delete Your Content after 30 days

• Outstanding fees remain due

12. Disclaimers and Limitations of Liability

12.1 Disclaimer of Warranties

SPRK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• SPRK will be error-free or uninterrupted

• Defects will be corrected

• SPRK is free from viruses or harmful components

• Results from using SPRK will meet your requirements

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF SPRK.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12.3 Exceptions

Some jurisdictions do not allow limitations on warranties or liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless SPRK, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of SPRK

• Your violation of these Terms

• Your violation of any laws or third-party rights

• Your Content

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Washington, United States, without regard to conflict of law principles.

14.2 Arbitration

Any disputes arising from these Terms or your use of SPRK shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

14.4 Exceptions

Either party may seek injunctive relief in court for intellectual property disputes or breaches of confidentiality.

15. General Provisions

15.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and SPRK.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

15.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

15.6 Notices

We may send notices via email or platform notifications. You agree this constitutes adequate notice.
